Longenia Partners Program Terms

Important notice: Longenia is strictly informational and educational. Nothing here is a diagnosis, prescription, or medical treatment, and nothing replaces a consultation with a physician or other qualified health professional.

1. What is Longenia Partners

Longenia Partners is Longenia's partnership and referral program, for professionals, communities, organizations and content creators who want to introduce Longenia to the people they work with.

Once an application is approved, the partner may receive, depending on their category and participation track:

  • an exclusive referral code;
  • a personal link;
  • a QR code;
  • promotional materials;
  • access to the program's tracking dashboard;
  • a financial share of subscriptions, when expressly eligible.

Participation in the program is not automatic and depends on approval by Longenia.

These Terms govern only the relationship between Longenia and the partner within the program. Use of the Longenia platform itself, including by the partner as a user, remains subject to the platform's Terms of Use and Privacy Policy.

2. Application and approval

Participation in Longenia Partners depends on an application and approval by Longenia.

Longenia may, at its sole discretion and subject to applicable law:

  • approve or reject an application;
  • request additional information;
  • classify the partner under a given category or track;
  • change the partner's classification when there is a change in activity, regulation or legal guidance;
  • suspend or terminate a partnership in case of breach of these Terms, fraud, misuse of the brand or code, or other situations that could harm Longenia or its users.

Approval does not guarantee the partner any financial share, specific commission rate, or permanence at a given program tier.

False, incomplete or misleading information provided during the application may result in rejection or termination of the partnership.

3. Partner categories and tracks

Longenia Partners may have different categories and tracks, including, among others:

  • Performance;
  • Wellness;
  • Health;
  • Creators;
  • Institutional;
  • other categories that may be created.

The participation track is defined by Longenia considering the partner's activity, professional category, applicable law, any relevant ethical or regulatory rules, and the characteristics of the partnership.

3.1 Regulated professionals

Professionals subject to professional bodies or regulation must fully comply with the rules applicable to their activity.

Longenia may restrict or prevent referral-based financial participation whenever there is any legal, regulatory or ethical impediment applicable to the partner's activity.

In particular, medical professionals may take part under the professional or institutional track, with no compensation tied to patient referrals, when that is the applicable track.

The partner's classification is not a legal declaration or guarantee by Longenia about the permissibility of a given professional practice. The partner is also responsible for complying with the rules applicable to their own activity.

4. Commission and financial participation

For expressly eligible categories and tracks, the partner may receive a recurring share of paid subscriptions originated by valid referrals made through their code, link, or another mechanism officially provided by Longenia.

The applicable rate will be communicated to the partner at approval time or through the program's dashboard.

Rates may vary according to:

  • category;
  • partnership tier;
  • campaign;
  • the user's plan;
  • specific commercial terms.

4.1 Calculation base

Commission is calculated on amounts actually received by Longenia for the eligible subscription, subject to the program's current rules.

The following are not considered for commission purposes:

  • declined charges;
  • unsettled payments;
  • fully refunded amounts;
  • chargebacks;
  • fraudulent transactions;
  • amounts later reversed;
  • other situations where Longenia has not actually received the corresponding revenue.

Where applicable, a previously recorded commission may be reversed due to refund, chargeback, fraud or reversal.

If a reversal results in a negative balance in the partner's history, that balance may be offset against future commissions, subject to applicable law.

4.2 Changes to conditions

Longenia may change commission rates, tiers and rules by notifying affected partners.

Unless otherwise specified, commission changes take effect on new referrals and/or new commission periods after the change's effective date, without retroactively affecting commissions already definitively constituted.

5. Valid referral and attribution

A referral is considered valid when the user accesses Longenia through an official referral mechanism provided to the partner, such as:

  • a personal link;
  • a referral code;
  • a QR code;
  • a campaign officially linked to the partner.

Longenia uses technical mechanisms to attribute the referral to the partner, which may take into account information such as session, code, link, user account and the moment of conversion.

Longenia may adopt different attribution models and may change them to improve the program's security and accuracy.

In case of conflicting referrals, fraud, duplication or technical inconsistency, Longenia may perform a manual review of the attribution.

The existence of a click or sign-up does not, by itself, guarantee the right to commission.

6. Partner obligations

The partner agrees to:

  • use the code, link and materials provided by Longenia lawfully and responsibly;
  • present truthful information about Longenia;
  • make no promises of guaranteed results;
  • never provide medical diagnosis, prescription or recommendation on Longenia's behalf;
  • never present Longenia as a substitute for a consultation, professional follow-up or treatment;
  • comply with advertising and ethics rules applicable to their activity;
  • use only official materials or materials previously authorized by Longenia;
  • correctly disclose any existing commercial relationship with Longenia when required by applicable law;
  • notify Longenia of any misuse of their code or link they become aware of.

The partner may not:

  • create fictitious accounts;
  • self-refer;
  • use false data;
  • manipulate clicks or conversions;
  • use bots or automated mechanisms to generate artificial traffic;
  • promote spam;
  • send unsolicited bulk communications;
  • use deceptive practices to obtain referrals;
  • buy or register domains that could cause confusion with the Longenia brand;
  • use the Longenia brand in paid ads without prior authorization;
  • modify official materials in a way that changes their meaning or could mislead third parties;
  • promise benefits, clinical or financial results that are not officially disclosed by Longenia.

Breach of these obligations may result in suspension, termination of the partnership and, where applicable, reversal of commissions.

7. Fraud and misuse

Longenia may investigate activity that shows signs of fraud, manipulation or misuse of the program.

Behaviors that may be considered suspicious include:

  • self-referral;
  • multiple related accounts;
  • inconsistent registration information;
  • artificial click generation;
  • automated use;
  • fraudulent transactions;
  • code manipulation;
  • misuse of coupons;
  • attempts to circumvent attribution rules.

During an investigation, Longenia may temporarily suspend processing of commissions related to the transactions under review.

If fraud or misuse is confirmed, Longenia may cancel the corresponding commissions and, where applicable, offset amounts wrongly paid.

8. Suspension and termination

Longenia may suspend or terminate a partnership when it deems necessary to protect the program, its users, its brand, or the operation's legal and regulatory compliance.

The partner will be notified when feasible.

The partner may also request termination of their participation at any time.

Termination:

  • stops new referrals from being attributed to the partner as of the termination date;
  • does not erase the history of previously made referrals and transactions;
  • does not prevent processing of commissions already definitively owed;
  • does not prevent reversals later identified due to refund, chargeback, fraud or reversal.

Longenia may set a specific period for ending certain campaigns or commercial conditions.

9. Code, link, QR code and materials

The referral code, personal link, QR code, promotional materials and other elements provided to the partner belong to Longenia or are used by Longenia under license.

The partner receives a limited, non-exclusive, revocable and non-transferable authorization to use them solely within the context of Longenia Partners.

It is prohibited to:

  • sell the code;
  • assign the code to third parties;
  • sublicense the code;
  • alter Longenia's visual identity without authorization;
  • use the code for any purpose other than promoting the program.

Longenia may change or replace codes, links and materials when necessary for technical, commercial, security or brand reasons.

10. Privacy and data protection

Longenia processes the partner's personal data in accordance with its Privacy Policy and applicable law.

The partner acknowledges that the Longenia Partners dashboard was designed to show only minimal commercial information related to referrals.

Through the referral program, the partner will not have access to:

  • lab results;
  • diagnoses;
  • medical records;
  • genetic data;
  • health data;
  • clinical information;
  • wearable data;
  • other sensitive information of referred users.

The partner also must not request or collect a person's health data solely to prove or facilitate their referral to Longenia.

Any future feature enabling health-information sharing between a user and a professional must have its own rules, appropriate consent, and specific security and privacy requirements.

11. Communications and promotion

The partner may promote Longenia through their own channels, provided they comply with these Terms and applicable law.

Longenia may provide official materials for:

  • Instagram;
  • WhatsApp;
  • websites;
  • presentations;
  • print materials;
  • events;
  • other authorized channels.

The partner is responsible for the content of their own publications and for those publications' compliance with the rules applicable to their activity.

12. Payments and tax obligations

When there is financial participation, payments follow the operational procedure communicated by Longenia.

The partner is responsible for providing correct registration and tax information and for fulfilling any tax obligations arising from amounts received, subject to applicable law.

Longenia may request additional information necessary to process payments and comply with legal, tax, accounting or fraud-prevention obligations.

13. No formal relationship created

Participation in Longenia Partners does not create, between Longenia and the partner:

  • an employment relationship;
  • a partnership (in the corporate sense);
  • a joint venture;
  • commercial representation;
  • an agency mandate;
  • a franchise;
  • an agency relationship;
  • exclusivity.

The partner is not authorized to assume obligations, enter into contracts, or make binding statements on Longenia's behalf.

14. Intellectual property

The Longenia brand, its names, logos, visual elements, texts, software, content and other intellectual property assets remain the property of their respective owners.

Participation in the program does not transfer any intellectual property right to the partner.

Any brand-use authorization is limited to the program's purposes and may be revoked.

15. Changes to the program

Longenia may change, suspend, expand or terminate the program, in whole or in part.

This may include changes to:

  • categories;
  • approval criteria;
  • tiers;
  • rates;
  • campaigns;
  • features;
  • attribution mechanisms;
  • materials;
  • payment methods.

Material changes will be communicated to active partners through their registered contact channels or through the dashboard.

Continued participation after changes take effect will be treated as agreement with the new conditions, where permitted by applicable law.

16. Changes to these Terms

Longenia may update these Terms to reflect changes in the program, the law, technology, or its processes.

The current version will be available through the program's official channel.

When a change is material, Longenia may require a new electronic acceptance before allowing continued participation.

The system may record:

  • the version of the Terms accepted;
  • the date and time of acceptance;
  • the account identifier;
  • other technical information necessary to evidence acceptance.

17. Minors

The partner must not run campaigns or referrals specifically targeting minors unless the corresponding Longenia flow is formally enabled and accompanied by the authorizations required by applicable law.

Where minor users are involved, specific rules on registration, consent, privacy and platform use apply.

18. Program availability

Longenia may modify or temporarily interrupt program features for maintenance, updates, security, or other technical or operational reasons.

Longenia does not guarantee uninterrupted availability of the dashboard or of any specific program feature.

19. Liability

The partner is responsible for the information, content and communications they produce in relation to Longenia.

Longenia is not responsible for:

  • statements made by the partner without authorization;
  • promises made by the partner;
  • improper use of the brand;
  • the partner's breach of professional rules;
  • promotional practices carried out outside the program's guidelines.

Nothing in these Terms limits rights or liabilities that cannot be legally excluded or limited.

20. Longenia's operation

The Longenia platform and the Longenia Partners Program are operated by:

If the operational structure is transferred to another entity, the program's contracts and relationships may be assigned or transferred to the new entity, with notice to partners where applicable.

21. Complementary terms

These Terms complement:

  • Longenia's Terms of Use;
  • Longenia's Privacy Policy;
  • any other specific policies applicable to the program.

In case of conflict, these Terms prevail only with respect to Longenia Partners' specific rules.

22. Governing law and venue

These Terms are interpreted in accordance with the laws of the Federative Republic of Brazil.

Any disputes will be submitted to the competent venue, subject to the legal rules of jurisdiction applicable to the relationship between the parties.

24. Acceptance

By completing their application, the partner declares that they:

  • have read these Terms;
  • have understood the program's rules;
  • have provided truthful information;
  • agree to the conditions applicable to their partnership category and track.

Electronic acceptance is recorded by Longenia together with the version of these Terms in effect at that time.
